Transportation Services Agreement

1. LENGTH OF SERVICE AGREEMENT

This Agreement, as of the Effective Date noted above, between Patriot Shield and the Client, in its entirety, will remain in full effect as of the Effective Date (or) the contract is discontinued by either the Client or Patriot Shield, as noted and required in Section 7 of this contract.

2. SCOPE OF ACTIVITIES

Secure Transportation Services

  • Logistical coordination of shipment to designated destination
  • Administrative services such as maintaining manifests and other pertinent documentation
  • Compliance to state and local laws as well as current hemp regulations
  • Adherence to the Client’s policies and procedures
  • Storage of Client’s product and allow access between 9:00 am to 6:00 pm 7 days per week.

The hours, days, and/or dates of pickups will be designated by the Client but must be coordinated with Patriot Shield to supply adequate notice. Any changes to the scheduled pickups are submitted by the Client to Patriot Shield at least ninety six (96) hours prior to the changes taking place. Patriot Shield, without notice to the Client, can change the route of travel to facilitate fulfilling orders as needed, provided that the pickups, hours, days and dates requested by the Client are delivered.

3. RATES & FEES

The total fees as described in the corresponding quote(s) for each particular conveyance of goods covers the expenses only so far as all of the cargo information provided by the Client is true. All quotes automatically expire after 48 hours. Any quotes that have been sent to the Client by Patriot Shield for a conveyance within the next 48 hours of the intended departure time will expire 8 hours from being sent. All paperwork outlined in our Client On-boarding Procedures, attached as Exhibit A, must be submitted by the Client no later than 7:00pm the evening before, or the run will not commence the following day. If, for any reason the Client provides inaccurate information to the extent that it requires Patriot Shield to provide additional conveyances and/or vehicles, the Client agrees to pay for it, in full, at a rate that is commensurate with the rate on the original quote. The value of each shipping vehicle must remain below two million dollars ($2,000,000.00) USD. In the event transportation is delayed in notice (less than 96 hrs notice), delayed, or altered, for any reason other than actions caused by Patriot Shield or its subcontractors, and to the extent the delays or alterations cause additional expenses to Patriot Shield from either its subcontractors or its own employees / equipment, those fees will be passed along to the Client and include, but are not limited to, expenses from payroll, hotels, gas, rescheduling fees, unloading/loading fees, etc. In addition, any delays or alterations that require more than the quoted total number of conveyances needed based on the information provided by the Client in Exhibit A of the corresponding individual delivery request forms, the Client may be charged up to an additional one hundred percent (100%) of the originally quoted amount per delivery for each additional conveyance required to perform the obligations of the contract. If the Client requests Patriot Shield’s Secure Storage services, or If the Client is unable to receive the product within 24 hours of the originally scheduled delivery, the Client agrees that Patriot Shield will store the product at their secured facility or will make adequate arrangements for which the Client will reimburse all expenses and pay an additional rate until received by the Client of:

  • $5.00 One time intake and processing fee per container
  • $.25 per kilogram per day for product valued at less than $2,000.00 per unit
  • $.50 per kilogram per day for product valued at more than $2,000.00 per unit
  • $0.05 per pound per day of hemp biomass

As specified in each individual quote for each conveyance, there is a standard deposit of fifty percent (50%) of the total bill due for each conveyance in order to initiate any transportation. The remaining amount will be due immediately upon completion of each conveyance. Patriot Shield agrees to provide all applicable insurances, surety bonds and/or licenses for their employees. Patriot Shield will also hold insurance policies covering cargo while in transit or in storage with Patriot Shield for up to two million dollars ($2,000,000.00). The Client will bear the cost of any additional insurance, surety bonds and/or licenses that they require of Patriot Shield.

4. HOLIDAY RATES

An additional ten percent (10%) will be added to the total bill for any deliveries on the following holidays: New Year’s Day, Easter, Memorial Day, Independence Day, Labor Day, Thanksgiving, Veteran’s Day, Christmas Eve and Christmas.

5. BILLING

The Client pay a fifty percent (50%) deposit within a minimum of seventy two (72) hours before the scheduled delivery date. The remaining amount will be due within 24 hours of completion of each conveyance. Invoices are based on the total collective value of the products/assets delivered and subject to Client reconciliation and approval. Once past due, The Client shall pay interest on all late payments at the highest rate permissible under applicable Law, calculated and compounded daily from the date due until paid in full.

*The Client shall also reimburse Patriot Shield for all costs incurred in collecting any late payments, including, without limitation, reasonable attorneys’ fees; provided that Patriot Shield shall be responsible for all costs incurred in connection with any fees successfully disputed by the Client. Both Patriot Shield and the Client guaranty the amounts due pursuant to this Agreement. Patriot Shield also holds the right to suspend, and if necessary, discontinue services without notice to the Client if any bill is not paid immediately. Patriot Shield bills on the 1st and 15th of every month and requires a one week estimated storage deposit upon signing of this agreement in addition of signing a separate storage agreement if storage is anticipated.

6. DISCLAIMER OF WORK

Patriot Shield gives maximum effort to provide the best security for the Client. However, due to situations beyond the control of Patriot Shield (Ex: Acts of God) security levels may not always meet Client expectations, but will be rectified by Patriot Shield as soon as possible.

7. CANCELLATION, SUSPENSION, TERMINATION OF WORK OR CONTRACT

This agreement will automatically renew, year after year, unless the agreement is cancelled, in writing with 45 days’ written notice delivered in person or by certified mail. Patriot Shield reserves the right to IMMEDIATELY suspend/discontinue services to the Client for nonpayment, any violation of this contract or for any other reason deemed justifiable by Patriot Shield i.e. unlawful acts of the Client. The Client reserves the right to IMMEDIATELY suspend/discontinue services for safety, compliance or other justifiable issues.

8. NON-SOLICITATION OF EMPLOYEES

The Client shall not solicit the employment of Patriot Shield employees or employ Patriot Shield employees outside the terms of this contract.

9. INDEMNITY AGREEMENT

Patriot Shield holds the Client harmless for any liability incurred by reason of damage or loss sustained by any third party, employee, member or licensee of Patriot Shield unless related to the legality of the product by means of misrepresentation, intentional or unintentional, of any of the Client’s provided documentation, while conducting secure transportation operations in connection with the use of Client’s property as permitted by this contract. Patriot Shield only agrees to provide services for Products testing within legal industrial hemp THC limits with clear and concise evidence to justify the appropriate.

10. DOCUMENTATION

The Client agrees to furnish all documents relating to the certification, verifiability, and legality of the product they request moved. In signing this agreement, the Client affirms that all documents provided to Patriot Shield are authentic and all lab results were conducted through at least one accredited third party lab within the last thirty (30) days. The Client agrees to pay any and all legal and operational expenses related to any stoppage, seizure, arrest and/or bail associated with the Product. The Client must immediately make funds available as legal or operation fees become due, in specific, bail for any Operators involved.

11. NO STRICT CONSTRUCTION AND CONTRACT SEVERABILITY

The parties hereto have participated jointly in the negotiation and drafting of this agreement. In the event an ambiguity or question of intent or interpretation arises under any provision of this agreement, this agreement shall be construed as if drafted jointly by the parties thereto, and presumption or burden of proof shall arise favoring or disfavoring any party by virtue of the authorship of any of the provisions of this agreement. Also, if any term or other provision of this agreement is invalid, illegal or unenforceable, all other provisions of this agreement shall remain in full force and effect so long as the economic or legal substance of the transactions contemplated hereby is not affected in a manner that is materially adverse to any party.

12. AGREEMENT

In consideration to Patriot Shield in performance of the secure transport services required by the contractual service agreement I/we,

  1. Agree to pay from this date any and all charges that become due under this service contract and,
  2. Agree to pay any expenses, court costs and attorney's fees incurred for legal action necessary for

the collection of this account.
